1. Acceptance of Terms.

1.1 Freight Masters, Inc.( “ Freight Masters ” or “ we ”) provides its Service( as defined below) to you through its website located atjuggtransportinc.com( the “ point ”), subject to this Terms of Service agreement( “ TOS ”). In addition, when using certain services, you’ll be subject to the programs( “ programs ”) and figure schedules ( “ figure Schedule ”) that govern the operation of similar services which are posted on the point or are readily made available to registered druggies of the Service. All similar programs and figure Schedules are hereby incorporated by reference. By accepting this TOS or by penetrating or using the Service or point, you admit that you have read, understood, and agree to be bound by this. The TOS and figure Schedule, as applicable, will come effective thirty( 30) days after we post or shoot you notice of similar changes, and if you use the Service after that date, your use will constitute acceptance of the revised terms and conditions. • Administration and monitoring by you via an executive Internet gate
• Admit
• Storage
• Pick/ Pack
• Shipping

• Processing of returned shipments or disposal

3. General Conditions/ Access and Use of the Service.

3.1. Subject to the terms and conditions of this TOS, you may pierce and use the Service only for legal purposes. All rights, title, and interest in and to the Service and its factors will remain with and belong simply to Freight Masters. You shall not( a) sublicense, resell, rent, lease, transfer, assign, timeshare or else commercially exploit or make the Service available to any third party;( b) use the Service in any unlawful manner( including without limitation in violation of any data, sequestration or import control laws) or in any manner that interferes with or disrupts the integrity or performance of the Service or its factors, or( c) modify, acclimatize or hack the Service to, or else attempt to gain unauthorized access to the Service or its affiliated systems or networks. You shall misbehave with any canons of conduct, programs or other notices Freight Masters provides you or publishes in connection with the Service, and you shall instantly notify Freight Masters if you learn of a security breach related to the Service. To the extent you give any suggestions, improvement requests, feedback, recommendations, or other input relating to the Service( “ Feedback ”), you hereby grant Freight Masters the full, unencumbered right to use, incorporate and else completely exercise and exploit any similar Feedback in connection with its products and services.
3.4 Notwithstanding anything to the negative, Freight Masters shall have the right to collect and dissect data and other information relating to the provision, use, and performance of colourful aspects of the Services and related systems and technologies( including, without limitation, information concerning Your Content and data deduced therefrom), and Freight Masters will be free( during and after the term hereof) to( i) use similar information and data to ameliorate and enhance the Services and for other development, individual and corrective purposes in connection with the Services and other Freight Masters immolations, and( ii) expose similar data solely in the total or other-identified form in connection with its business.
3.5. Freight Masters will have no liability to you for any unauthorized access or use of any of Your Content, or any corruption, omission, destruction, or loss of any of Your Content.
3.6 You shall be responsible for carrying and maintaining any outfit and ancillary services demanded to connect to, access, or else use the Services, including, without limitation, modems, tackle, garçon, software, operating system, networking, web waiters, long distance and original telephone service( inclusively, “ outfit ”). You shall be responsible for icing that a similar outfit is compatible with the Services and complies with all configurations and specifications outlined in Freight Masters’s published programs also in effect. You shall also be responsible for maintaining the security of the outfit, your Account, watchwords( including but not limited to executive and stoner watchwords), and lines, and for all uses of your Account or the outfit with or without your knowledge or concurrence.
3.7 The failure of Freight Masters to exercise or apply any right or provision of this TOS shall not be a disclaimer of that right. You admit that this TOS is a contract between you and Freight Masters, indeed though it’s electronic and isn’t physically inked by you and Freight Masters, and it governs your use of the Service.
3.8 Freight Masters reserves the right to use your name and/ or company name as a reference for marketing or promotional purposes on Freight Masters’s website and in other communication with being or implicit Freight Masters guests. To decline Freight Masters this right you need to info@juggtransportinc.com stating that you don’t wish to be used as a reference.
3.9 Subject to the terms hereof, Freight Masters may( but has no obligation to) give specialized support services, through dispatch in agreement with our standard practice.
3.10 You admit that the Company and/ or its applicable third party fulfilment or storehouse mate( s)( “ Fulfillment Partners ”) shall have a factual or formative lien and security interest( which, in the case of Freight Masters need not be a warehouseman’s lien unless needed by applicable law), or analogous interest in an agreement with the UCC or any other applicable original law, on all of your goods and wares in Freight Masters’s or its Fulfillment Partner’s possession or control, for any quantities, charges, or freights due to Freight Masters hereunder( including charges for a storehouse, running, fulfilment, shipping, insurance, and labour), and anyhow of whether specific damage is issued by Freight Masters. Freight Masters and/ or its Fulfillment mates may refuse to surrender possession of your goods and wares until all quantities, charges and freights are paid in full. You authorize Freight Masters to dispose of inoperable or other compromised force in agreement with its standard programs in the environment of furnishing returns, and, after the proper process, managing-responsive or overdue accounts with balances above certain thresholds. You’ll execute all documents nicely needed for Freight Masters or its Fulfillment mates, and if demanded entitlement a limited power of attorney to gain, perfect, and maintain its lien rights, security interests, and/ or other rights in your goods and wares to operate the platform.

4. Payment.

4.1. To the extent the Service or any portion thereof is made available for any figure, you’ll be needed to pay all freight and any fresh shipping charges outlined in our figure Schedule and give Freight Masters information regarding your credit card or a bank account number( for the bank to bank transfer with ACH). You represent and warrant to Freight Masters that similar information is true and that you’re authorized to use the payment instrument. You’ll instantly modernize your account information with any changes( for illustration, a change in your billing address or credit card expiration date) that may do. roughly every two weeks, Freight Masters will post a tab of the freights and charges to your account and/ or else make it available to you. You can handpick to pay with a credit card or through ACH. Credit card or ACH declines may dodge new charges or lead to suspense or termination of Service. Full payment for checks issued must be entered by Freight Masters thirty( 30) days after Freight Masters advertises the tab or the Services may be terminated. Failure to instantly pay your checks is considered a material breach, and overdue checks are subject to a charge of1.5 per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all charges of collection. In addition, if your account is tardy for thirty( 30) days or further or inactive for sixty( 60) days or further, Freight Masters may, with or without notice to you, take any legal conduct or empower agents( including its Fulfillment Partners) to take any legal action regarding tardy or nonresponsive accounts, overdue checks and/ or unclaimed goods, including estimated value, disposing of damaged, tardy or other nonconforming property, recovering value to the extent allowed under applicable law, establishing, perfecting or maintaining a lien, security interest and/ or other rights in agreement with Section3.10. In addition, you expressly authorize Freight Masters or its Fulfillment mates to return force to any address intimately associated with you, including through any address you give Freight Masters, any address associated with your account, any government authority, or other third party acting on your behalf. You shall be responsible for all levies associated with Services other thanU.S. levies grounded on Freight Masters’s net income. If you dispute any charges you must let Freight Masters know within thirty( 30) days after the date that Freight Masters checks you. We reserve the right to change Freight Masters’sprices. However, Freight Masters will give notice of the streamlined figure Schedule on the point or in a dispatch to you, at Freight Masters’s option, If Freight Masters does change prices. At any time, Freight Masters reserves the right to bear a deposit for your Account to cover any freights, shipping charges, or other costs, and Freight Masters may increase or drop the needed deposit quantum at its sole discretion.

5. There’s a base cost to admit force into the storage ( “ entering Cost ”). If there are fresh costs associated with non-standard receiving( as determined in Freight Masters’s sole discretion)( “ fresh Costs ”), fresh Costs shall be in addition to the entering Costs and you hereby agree to pay similar fresh Costs. While not specifically called out in our pricing, entering Costs are generally included with our standard per item outbound running piece freights, but fresh Costs aren’t included. Freight Masters, at its sole discretion, may bear an entering Cost deposit to cover force arriving to or in the storehouse.

6. Representations and guarantees.

You represent and warrant to Freight Masters that( i) you have full power and authority to enter into this TOS;( ii) you enjoy all of Your Content or have attained all warrants, releases, rights, or licenses needed to engage in your advertisement and other conditioning( and allow Freight Masters to perform its scores) in connection with the Services without carrying any farther releases or warrants;( iii) Your Content and other conditioning in connection with the Service, and Freight Masters’s exercise of all rights and license granted by you herein, don’t and won’t violate, infringe, or boost
any third party’s brand, trademark, right of sequestration or hype, or another particular or personal right, nor does Your Content contain any matter that’s scandalous, stag, unlawful, hanging, vituperative, tortious, obnoxious, or draining; and( iv) you’re eighteen( 18) times of age or age.

7. Termination.

You have the right to terminate your account at any time by transferring a cancellation request tosupport@juggtransportinc.com. Subject to earlier termination as handed below, Freight Masters may terminate your Account and this TOS at any time in its sole discretion by furnishing notice to the executive dispatch address associated with your Account. Freight Masters reserves the right to modify or discontinue, temporarily or permanently, the Service( or any part thereof). All of Your Content on the Service( if any) may be permanently deleted by Freight Masters upon any termination of your account at its sole discretion. still, all accrued rights to payment and the terms of Section 5- 14 shall survive termination of this TOS.

8. DISCLAIMER OF WARRANTIES.

8.1. The Services may be temporarily unapproachable for listed conservation or unscheduled exigency conservation, either by Freight Masters or by third-party providers, or because of other causes beyond our reasonable control. YOU Admit THAT Freight Masters DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR Contagion-FREE, NOR DOES IT MAKE ANY Bond AS TO THE RESULTS THAT MAY BE attained FROM USE OF THE SERVICES. NO INFORMATION, ADVICE OR SERVICES attained in YOU FROM Freight Masters OR THROUGH THE SERVICE SHALL produce ANY Bond NOT EXPRESSLY STATED IN THIS TOS.
8.2 Freight Masters isn’t the importer of record for Products stored at or by Freight Masters. Freight Masters shall not be held liable for complying with your instructions regarding the Service. You admit that Freight Masters doesn’t check Products nor does Freight Masters take responsibility for the business opinions that you make and apply through the Service. For purposes of clarity, Freight Masters isn’t the trafficker of Record for any Products. Freight Masters isn’t responsible for Products that are damaged during the pick and pack process or for breakage of particulars during conveyance that has been picked and packed by Freight Masters.

9. LIMITATION OF LIABILITY.

9.1 UNDER NO CIRCUMSTANCES AND NO LEGAL proposition( WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL Freight Masters BE LIABLE TO YOU OR ANY THIRD PARTY FOR( A) ANY circular, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR corrective DAMAGES, INCLUDING LOST gains, LOST SALES OR BUSINESS, LOST DATA, OR( B) FOR ANY DIRECT DAMAGES, COSTS, LOSSES OR arrears IN redundant OF THE freights PAID in YOU IN THE SIX( 6) MONTHS antedating THE EVENT GIVING RISE TO YOUR CLAIM OR IF NO freights APPLY, ONE HUNDRED($ 100)U.S. Bones. THE vittles OF THIS SECTION ALLOCATE THE pitfalls UNDER THIS TOS BETWEEN THE PARTIES, AND THE PARTIES HAVE reckoned ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THIS TOS.

9.2. IN THE EVENT OF LOSS, DAMAGE, OR DESTRUCTION OF PRODUCTS( “ force LOSS ”) FOR WHICH Freight Masters IS fairly LIABLE, YOU AGREE THAT Freight Masters ’S LIABILITY SHALL BE LIMITED TO$.50 PER POUND FOR SUCH LOST, DAMAGED, AND OR DESTROYED PRODUCTS. IN NO EVENT WILL Freight Masters BE LIABLE FOR ANY LOST Deals REVENUE FROM force LOSS. Freight Masters ’S MAXIMUM LIABILITY FOR INVENTORY LOSS WILL BE LIMITED TO 5 OF THE TOTAL PRODUCT VALUE( AS DEFINED BELOW) OR ONE MONTH OF THE AVERAGE BILLABLE storehouse, WHICHEVER IS LOWER.
9.3 Handling physical products could affect in loss or damage of Products. 11. U.S. Government Matters. You may not remove or export from the United States or allow the import or re-export of the Services or anything affiliated thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign means Control, or any other United States or foreign agency or authority.
12. Assignment. You may not assign this TOS without the previously spoken concurrence of Freight Masters, but Freight Masters may assign or transfer this TOS, in whole or in part, without restriction.

13. Miscellaneous.

However, that provision will be limited or excluded to the minimum extent necessary so that this TOS will else remain in full force and effect and enforceable, If any provision of this TOS is set up to be unenforceable or invalid. Both parties agree that this TOS, together with any programs and figure Schedule, is the complete and exclusive statement of the collective understanding of the parties and supersedes and cancels all former written and oral agreements, dispatches and other understandings relating to the subject matter of this TOS, and that all quitclaims and variations must be in a jotting inked by both parties, except as else handed herein. 14. Governing Law. This TOS shall be governed by the laws of the State of California without regard to the principles of conflicts of law. Unless else tagged by Freight Masters in a particular case, you hereby expressly agree to submit to the exclusive particular governance of the city and state courts of the State of California to resolve any disagreement relating to your access to or use of the Service.
